Terms of Service

1. About LoudDealers

We are LoudDealers - a music loop sharing and collaboration collective based in Poland. We operate louddealers.com (the "Service"). These Terms of Service ("Terms") govern your use of the Service.

By creating an account or using the Service in any way, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 17 years old, you may only use the Service with the permission of a parent or legal guardian. Children under 13 may not use the Service.

3. Accounts

Accounts are created exclusively via Google OAuth. You are responsible for maintaining the security of your Google account and any activity that occurs under your LoudDealers account. You may not create more than one account per person. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Roles

• Standard users - the default role. Can browse, preview, and download loops from published packs.
• Content uploaders - assigned by invitation. Can create loop packs and upload audio files.
• Administrators - full platform access, including content moderation and user management.

5. Uploading Content (Loops & Kits)

If you have UPLOADER access, you may upload original audio loops in MP3 format, create loop packs, and publish sound kits (including kit cover images, descriptions, audio previews, and external purchase links). By uploading any content, you represent and warrant that:

• You are the original creator and copyright owner of the content, or you hold all necessary licences to upload and distribute it.
• The content does not contain unauthorised samples from copyrighted recordings, commercially released beats, or any other third-party material you do not have the right to use.
• The content does not violate any applicable law, third-party intellectual property rights, or these Terms.

By uploading content - whether loops, packs, or kits - you grant LoudDealers a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, stream, and display your content solely for the purpose of operating the Service. You retain full copyright ownership of your content.

Sound kits are promotional listings that may link to external storefronts. LoudDealers does not process purchases for kits - any transaction occurs on the third-party platform linked by the uploader.

6. Loop Splits

Each loop pack operates on a 50/50 split model. The uploader's share (50%) may be subdivided among collaborators using the split editor. The downloader automatically receives the remaining 50%. Example: if two uploaders set a 60/40 split, Uploader A receives 30% total and Uploader B receives 20% total, while the downloader receives 50%.

Note: LoudDealers does not process financial transactions or facilitate monetary payments. Splits are tracked for informational and attribution purposes only.

7. Licence to Downloaded Loops

When you download a loop from a published pack, you receive a non-exclusive, worldwide, royalty-free licence to use that loop in new musical compositions, including commercial releases, sync placements, and derivative works. This licence is perpetual and irrevocable once the download occurs.

The following conditions apply to every downloaded loop:

• Must be used in a new composition - you may not redistribute, resell, or sublicence the loop as a standalone file or as part of another sample pack, sound kit, or loop library.
• Credit and splits - the split percentages displayed at the time of download represent the agreed revenue share between the uploader(s) and you (the downloader). You are expected to honour these splits on any commercial release that uses the loop.
• No claim of exclusive ownership - the same loop may be downloaded and used by other users. You may not register the loop itself (as opposed to your finished composition) with a content identification service (e.g., Content ID) or claim exclusive rights over it.

Note: LoudDealers does not enforce or collect split payments. The split information is provided for transparency and attribution. It is the responsibility of the parties involved to honour the agreed terms in any commercial arrangement.

8. Prohibited Content and Conduct

You may not use the Service to:

• Upload content that infringes any third-party copyright, trademark, or other intellectual property right.
• Upload content that is hateful, discriminatory, defamatory, obscene, or otherwise unlawful.
• Upload files containing malware, viruses, or any malicious code.
• Attempt to reverse-engineer, scrape, or interfere with the platform's operation.
• Create multiple accounts to circumvent a ban or restriction.
• Impersonate any person or entity.

9. Content Removal and Takedowns

We respect intellectual property rights. If you believe content on the Service infringes your copyright, you may submit a takedown notice to contact@louddealers.com. A valid takedown notice must include:

1. A description of the copyrighted work you claim has been infringed.
2. A link or description sufficient to identify and locate the allegedly infringing content on the Service.
3. Your full name, email address, and (if applicable) the organisation you represent.
4. A statement that you have a good-faith belief that the use of the material is not authorised by the copyright owner, its agent, or the law.
5. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on the owner's behalf.
6. Your physical or electronic signature.

We will review valid notices promptly and remove or disable access to content found to infringe. Incomplete notices may be returned for additional information.

We also reserve the right to remove any content at our discretion, without notice, for any violation of these Terms.

10. Termination

We may suspend or permanently terminate your account at any time, with or without notice, for violation of these Terms or any applicable law. You may delete your account at any time from your profile settings ("Edit Profile" → "Delete Account"). Deleting your account permanently removes your profile, uploaded content (loops, packs, kits, and associated audio files), likes, download history, and collaborator split entries. This action is irreversible.

Upon termination - whether initiated by you or by us - your right to use the Service ceases immediately.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, error-free, or secure access to the Service.

12. Limitation of Liability

To the fullest extent permitted by applicable law, LoudDealers shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, loss of data, or loss of goodwill) arising out of or in connection with your use of, or inability to use, the Service — even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless LoudDealers and its team members from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with: (a) content you upload to the Service; (b) your violation of these Terms; or (c) your infringement of any third-party intellectual property or other rights.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Poland, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Poland, unless mandatory consumer protection laws in your country of residence provide otherwise.

16. Changes to These Terms

We may update these Terms from time to time. The "last updated" date at the top reflects any changes. Continued use of the Service after the effective date of updated Terms constitutes your acceptance.
